Chairman of the Board and Chief Executive Officer

Dr. George N. Faris has been Chairman of the Board of Directors and Chief Executive Officer of the Company since 1981. Dr. Faris was the founder of ICAT,an international engineering and construction company, and served as its President from ICAT's inception in 1972 until October 1985. Prior to 1972, Dr.Faris was the President and Chairman of the Board of Directors of Donbar Development Corporation, a company engaged in the patent development of rotary heat exchangers, devices which exchange heat from medium to medium and on which Dr. Faris was granted a number of patents. Dr. Faris received a Ph.D. in Mechanical Engineering from Purdue University in 1968.

Ambassador Richard W. Murphy

Ambassador Murphy, who was Assistant Secretary of State for South Asian and Near Eastern affairs in the Reagan Administration, is currently a Senior Fellow for the Middle East at the Council of Foreign Relations in New York City. Nominated in 1986 by President Reagan to the rank of Career Ambassador, a rank restricted at any given time to five career diplomats, Mr. Murphy held various senior level appointments with the Foreign Service at the State Department, culminating in the position of Assistant Secretary of State from 1983 to 1989. From 1971-1983 he held successive appointments as Ambassador to Mauritania, Syria, the Philippines, and Saudi Arabia.
Ambassador Murphy holds a B.A. from Harvard College and A.B. from Emmanuel College, Cambridge. He is a frequent commentator for National Public Radio, CNN and BBC, and has written for The New York Times, The Washington Post, International Herald Tribune and Christian Science Monitor.

William R. Smart, 77

Mr. William R. Smart has served as a member of the Company's Board of Directors since June 1987. Since November 1, 1983, Mr. Smart has been Senior Vice President of Cambridge Strategic Management Group, a management consulting firm. Mr. Smart was Chairman of the Board of Directors of Electronic Associates, Inc., a manufacturer of electronic equipment, from May 1984 until May 1992. He has served on the Board of Directors of Apollo Computer Company and Executone Information Systems, Inc. Mr. Smart is presently a director of National Datacomputer Company and Hollingsworth and Voss Company. Mr. Smart received a B.S. degree in Electrical Engineering from Princeton University in 1941.
He spent 32 years with the General Electric Company where his responsibilities included distribution and marketing management and general management as a Division Vice President. He spent nine years with Honeywell, Inc. where he served as Vice President in charge of European operations and Senior Vice President of Honeywell Information Systems, responsible for international operations as well as for the corporate staff. Mr. Smart currently serves as a Senior Vice President of the Cambridge Strategic Management Group, a privately-held management consultant company. Mr. Smart holds a Bachelor of Science degree in Electrical Engineering from Princeton University. Mr. Smart is also the non-executive Chairman of 1st Carolina Corporation (the "Corporation"). The Corporation filed a Chapter 7 bankruptcy petition in the United States Bankruptcy Court for the District of South Carolina on August 16, 1994 (Case Number 94-73884).

Daniel Y. Kim, 73

Dr. Daniel Y. Kim has served as a member of the Company's Board of Directors since July 1987. Dr. Kim is a Registered Professional Geophysicist in California and Colorado. From 1981 until 1984, Dr. Kim was President and Chief Executive Officer of Kim Tech, Inc., a research and development company. In 1984, Kim Tech, Inc. was merged into Bolt Industries, a public company engaged in the manufacture of air guns and auxiliary equipment used to generate shock waves in seismic exploration for oil, gas and minerals. Dr. Kim has been a director of Bolt Industries since 1984. From 1977 to 1980, Dr. Kim was Chief Consulting Geophysicist for Standard Oil Company of Indiana. Dr. Kim received a B.S. degree in Geophysics and a Ph.D. degree in Geophysics from the University of Utah in 1951 and 1955, respectively.

Mr. Donald G. Rynne has served as a member of the Company's Board of Directors since September 1992. Mr. Rynne has been Chairman of the Board of Directors of Donald G. Rynne & Co., Inc., a privately owned company engaged in international consulting and trading, since founding that company in 1956. Mr. Rynne is involved in international maritime trading and consulting, dealing primarily in the Middle East in hydrocarbon products and capital equipment. Mr. Rynne received a B.A. degree from Columbia University in 1949.

Denis J. Fitzpatrick, 53
Vice President, Secretary and Chief Financial Officer

Mr. Denis J. Fitzpatrick, 53, joined the Company in August 1994 as Vice President, Secretary and Chief Financial Officer. During the previous five years, Mr. Fitzpatrick was the Chief Financial Officer of Nahama & Weagant Energy Company, a publicly traded independent exploration and production company. Mr. Fitzpatrick has held various accounting and financial management positions during his 24 years in the oil and gas industry. He has also served as a Director or Officer of the Council of Petroleum Accountants Society; served on the Tax Committee of the American Petroleum Institute and as a member of the American Management Association. Mr. Fitzpatrick received a B.S. degree in Accounting from the University of Southern California in 1974.

William L. Tracy, 50
Treasurer and Controller

Mr. William L. Tracy, 50, has been employed by the Company since February 1992 and has been Treasurer and Controller of the Company since August 1993. From May 1989 until February 1992, Mr. Tracy was self-employed as an energy consultant with the Commonwealth of Kentucky. From June 1985 until May 1989, Mr. Tracy served as President of City Gas and Transmission Corp., a public oil and gas production and refining company. He received his BBA from Bellarmine College in Louisville, Kentucky in 1974.

Gene Chew, AIRI
President

Mr. Gene Chew joined the Company in December 1997 as President of AIRI. He received Bachelor of Science degrees in Chemical Engineering and Accounting in 1959 from Lehigh University. Mr. Chew was most recently Managing Director of Neste Trifinery Petroleum Services in Corpus Christi, Texas. He has 38 years of experience in the refining industry, including 28 years with British Petroleum North America. Mr. Chew is Chairman of the Asphalt Institute and for nine years has served as a Director of the National Petroleum Refiners Association.

John A. Munk, AIRI
Vice President, Asphalt Manufacturing & Marketing

Mr. John A. Munk joined AIRI in November 1996 to manage the Company's asphalt operations. He was President of Asphalt Consulting & Engineering, an asphalt and engineering consulting firm, which was performing VDU consulting services for the Company during much of 1996. Mr. Munk has 26 years of progressive operations and marketing management experience in the petroleum refining industry, the last 19 of which at the executive level, with direct responsibility for profit functions. Previously, Mr. Munk was Manager, U.S. Asphalt Operations for Neste Oil Services in Houston, Texas and Executive Vice President, General Manager of Wright Asphalt Products, also in Houston.

John Kress, AIRI
Vice President - Refining Operations

Mr. John Kress joined AIRI as Vice President - Refining Operations in 1998. Mr. Kress has 25 years petrochemical, refinery and gas processing experience in operations, engineering, project management commissioning, and start up. He has held various management positions, both domestically and internationally, including Technical Services Manager, Technical Services Director, Project Manager, Petrochemical Plant Operations/Commissioning Manager, and Gas Plant Start-up Manager. Mr. Kress received a Bachelor of Science Degree in Chemical Engineering from Louisiana State University in 1973.

John Autenreith, AIRI
Manager, Light Products Marketing

Mr. John E. Authenreith joined AIRI as Refined Products and Transportation Manager in 1998. He attended Tulane University and subsequently received a B.S. Degree in Business Administration and Economics from McNeese University in 1971. Mr. Autenreith has 26 years experience in the petroleum refining, marine, and exploration industries. Before joining the Company, Mr. Autenreith was President/Owner of Transgulf Liquids Inc., a petroleum/petrochemical trading company, and Vice President/Co-Owner of Intergulf Fuels Inc., a fuel blending/trading, barging and marine terminal operation. Prior to 1983, Mr. Autenreith was employed as COO of American Offshore, Sharjah, UAE and Valetta, Malta, General Manager - Jackson Marine Inc. (Division of Haliburton), and Product Manager of Ashland Oil Company Inc.

Mr. Lorrie T. Olivier is the Company's Vice President of International Operations. Mr. Olivier has 25 years experience in domestic and international petroleum operations. He joined the Company in 1991 as Manager of its Colombian Operations and assumed the position of Manager of Latin American Operations in 1994. Mr. Olivier received a B.S. degree in economics and finance from the University of Southwestern Louisiana in 1973 and an MBA from Loyola University in 1977. Previously, Mr. Olivier was the Managing Director and founder of Colamer Ltd., a managerial and financial consulting firm specializing in supporting small and medium size oil and gas companies operating in Latin America. From 1980 to 1988, he was the Director of Finance and Controller of Occidental de Colombia, a subsidiary of Occidental Petroleum. Prior to that, Mr. Olivier worked with Shell Oil Company in its domestic and foreign divisions.

George Pavloff, AIPN
Exploration Manager

Pavloff is a graduate of the University of California, Santa Barbara, with a B.A. degree in Geology. He has had 23 years experience in the oil industry, both domestic and international with a specialty in CIS countries. He has worked for Phillips Petroleum for 12 years and has acted as Geophysical Consultant on CIS projects for Oryx, Kerr-McGee, Western Geophysical, Bechtel and the World Bank. He is currently finishing an assignment as a consultant to a major oil company and will assume his AIPC responsibilities by Dec. 1, 1997.

Anatole Kunevich, AIPN/AIPK
Manager of Corporate development

Kunevich is a graduate of Temple University, with an MBA degree. During the past nine years he has concentrated on projects in Kazakstan and Russia and is very knowledgeable of the culture, the people and available business opportunities.

Nurlan Janseitov, MSUP
Director General

Mr. Nurlan Janseitov is the General Director of MSUP the joint venture handling our Kazakstan Operations. Mr. Janseitov is the founder and president of Dank Ltd., the original License holder of the Kazakstan License. Mr. Janseitov, is a geophysicist with more than 20 years experience in developing and managing exploration operations in Kazakstan and other areas in the former Soviet Union.

Sergei Gouly, Exploration
Operations Manger - CIS and Russia

Mr. Sergie Gouly joined the Company in 1998 as Operations Manager CIS and Russia. Mr. Gouly has 18 years experience in the industry with extensive local knowledge of Kazakstan having managed the Western Atlas joint venture operations in the region since 1996. As the Commercial Director for the Joint Stock Company "Western Emba Geophysical" he was responsible for the business development for the company's seismic, logging core and software services in the region's oil industry. He has a Doctorate Degree in Geophysics from the Scientific & Research Institute "Soyuzpromegophysica" Moscow.

Michael Dodge, AIPN
Director of Corporate Communications

Mr. Dodge will be responsible for all investor relations and corporate communications activities. He will utilize his 27 years of management and executive level experience in the field of investor relations and corporate communications to enhance the Company's corporate identity with the financial community and broaden domestic and international institutional ownership.
