Article One MEMBERSHIP
Section 1 Eligibility - There shall be one class of membership - ACTIVE. Active membership shall be open to any person interested in the objectives of the club who is at least eighteen (18) years of age, or has the full consent of his/her parent(s) or guardian(s), at least one of which must also be a member.
Section 2 Application for Membership - Any person interested in becoming a member of the club may express same by filing an application form with the Recreation Department, or by contacting one of the clubs officers.
Section 3 Boeing Employee Fraction - Membership in the club shall consist of at least 50% Boeing employees.
Section 4 Assumption of Liability - Membership in the club is contingent upon the applicant understanding in full and agreeing to the terms and conditions of Article 6, Section 1 of these bylaws.
Article Two DUES
Initial membership dues are payable in full with the membership application. Annual membership renewal dues are payable in full on or before March 1st of each year. The dues amount is set by the club officers at the pre-season officers meeting. Club officers shall not be exempt from the payment of membership dues during their term of office.
Article Three DEFINITION OF "MEMBER IN GOOD STANDING"
Wherever used in the Constitution or in these By-Laws with respect to members, the term "good standing" shall mean that the individual members dues to the club shall have been paid.
Article Four EXPULSION
Any individual member of the club may be expelled for cause upon the two-thirds (2/3) vote of the membership who choose to participate in the vote. It shall be the responsibility of the officers of the club to bring the issue and time and place or method of voting to the attention of the membership. The expelled members dues shall not be refunded. Undesirable moral character or conduct, conviction of a crime, or flagrant violation of the clubs constitution or objectives, or leading an excessively unsafe club activity constitute grounds for a recommendation for expulsion. A move for expulsion of a club member can originate from any club member in good standing and shall be handled in confidence.
Article Five RIGHTS OF MEMBERS
Section 1 Member Rights - Members of the club of good standing are entitled to all rights and privileges granted by the Constitution and By-Laws.
Section 2 Voting Rights - Only members in good standing may vote and each member shall be entitled to one vote upon all amendments or other issues submitted to the membership for resolution.
Article Six LIABILITY RELEASE
Section 1 Members - At all times each club member aged eighteen (18) and over shall be responsible for his/her health and safety; and agrees by the act of joining the club to hold Boeing, the club and all the clubs members in good standing harmless in the event of any mishap. Members who are legal minors, i.e. less than eighteen (18) years of age, can only become members if their parent(s) or guardian(s) assume(s) full responsibility for their welfare and agree(s) by the act of enrolling the minor in the club to hold Boeing, the club and all its members in good standing harmless in the event of mishap.
Section 2 Nonmembers - Nonmember guests and club members currently not in good standing implicitly agree, by virtue of their participation in any club event to abide by the liability release described in Section 1 of Article Six, above.
Section 3 Liability Release for Events - All participants in any club-sponsored outing, event, or activity may be required to sign a medical and liability release form in which they make known any preexisting medical condition they have which may add to the risk involved in said outing or activity. Any person who refuses to agree to the conditions of the release form will be barred from participation in the event. The conditions of the liability release include the right of any club member or other event participant to make, without incurring any liability, emergency health decisions for the participant in the event that the participant is unconscious or otherwise incapable of reasonably rendering said decision. An additional requirement for a minors participation in an outing, event, or activity is that if the parent or legal guardian is not present or available at the time of the emergency that he/she defer to any of the other event participants over eighteen years of age the emergency health decision without liability, and shall hold harmless the person making the decision, his/her family members, the club and all its members, and Boeing.
Article Seven MANAGEMENT
Section 1 Management - Management of the club shall be provided in accordance with Article Four of the Consititution.
Section 2 Meetings - The club shall hold meetings at least once between outings, and whenever issues arise deemed significant to the club president. All meetings will be announced to the membership and the Boeing Recreation Office at least one week in advance. The president shall set the date, time and venue for the meeting. The club officers will decide the meeting agenda.
Section 3 Assets - The assets of the club shall at all times be subject to the direction, management, and control of the president or his/her designee and subject to the qualifications and limitations as may be provided under these By-Laws.
Section 4 Club Year - The club year shall begin on March 1st.
Article Eight DUTIES OF CLUB OFFICERS
Section 1 President - The president shall serve the membership by:
1. Providing leadership based on a vision for the organization, its objectives, and its future,
2. Verify that all proposed club activities are in accordance with the Constitution, By-Laws, and Boeing Activities Office Requirements,
3. Maintain and update the Constitution and By-Laws and see to the execution of new resolutions decided by the membership,
4. Preside over all club general meetings and officers meetings, and
5. Representing the club in local, state, and national boardsailing associations, as desired by the membership.
Section 2 Vice President - The Vice President/Secretary shall serve the membership by:
1. Working with the president in providing leadership,
2. Assuming the presidents role in his/her absence,
3. Record all resolutions and decisions made at general meetings and officers meetings,
4. Report on resolutions and decisions made at the last meeting,
5. Serve as club historian.
Section 3 Treasurer - The Treasurer/ Membership Officer shall serve the membership by:
1. Participating in providing leadership at the officers meetings
2. Managing the financial and other holdings of the club,
3. Maintaining the official roster of members in good standing
4. Welcoming new members and serving as a focal point for membership information
3. Paying bills and collecting membership dues.
4. Reporting on the clubs financial status at meetings.
Section 4 Information Officer - The Information Officer shall serve the membership by:
1. Participating in providing leadership at the officers meetings
2. Assembling, publishing and distributing a club newsletter
3. Maintaining a backup file on all club documents
4. Distributing critical information out to the membership.
Section 5 Outings Committee Chairman -The Outings Committee Chairman shall serve the membership by:
1. Participating in providing leadership at the officers meeting
2. Leading officers meeting discussion on outings and dates to achieve consensus early in the year.
3. Enroll general membership to form the Outings Committee,
4. Lead Outings Committee to plan outing details
5. Establish timelines for reservations and estimated costs, etc.
6. Work with other officers and Outings Committee members in getting outing information out, getting sign-ups and money collected, making reservations, etc.
7. Work with Outings Committee to carry out the outings.
Section 6 Education and Training Chairman - The Education and Training Chairman shall serve the membership by:
1. Participating in providing leadership at the officers meetings,
2. Managing and reporting on clubs equipment loan program,
3. Enroll club members in forming the Training Committee
4. Set up and manage training rotation program for outings and enroll volunteers.
Article Nine OUTING AND TRIP RESERVATIONS
Section 1 Participation in Outings - Participation in club trips is not limited to members, except that members and their guests are given preference over nonmembers when trip space is limited.
Section 2 Fees - If the trip requires a fee, fee payment must accompany the reservation. Refunds will only be given if another party is available to take the reservation.
Section 3 Waiting Lists - A waiting list may be established for more popular trips where space is limited. Members and their guests are given priority on that list.
Section 4 Refunds - All refunds are subject to the approval of the clubs Outings Chairman. Refunds are usually only given if the seat being vacated is resold.
Article Ten AMENDMENTS
These By-Laws may be amended by a two-thirds (2/3) majority of the members in good standing who choose to participate in the election.
